1. General Account Terms

To access most features on Siltawi, you must create an account. You are responsible for all activity associated with your account and for maintaining the confidentiality of your password. You must provide accurate, complete, and updated information, including a valid email address.

2. Terms for Learners

If you are accessing the Platform to consume educational content, you are a “Learner.”

• Acceptance of Terms: By enrolling in a course or accessing materials, you agree to follow the rules of the Platform and the specific guidelines set by your Instructors.
• Use License: We grant you a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees. Permission is granted to temporarily download provided supplementary materials (such as PDFs and related worksheets) for personal, non-commercial, transitory viewing only.
• Restrictions: You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, or create derivative works of any educational content without explicit written permission from Siltawi or the respective Instructor.

3. Terms for Instructors

If you publish a course or educational content on the Platform, you are an “Instructor.”

• Instructor Responsibilities: You are responsible for creating, uploading, and maintaining high-quality, accurate educational content that complies with our platform standards and local laws. You must ensure you have all necessary rights and permissions to use the content you publish.
• Content Ownership & Licensing: You retain ownership of your original content. By submitting content to Siltawi, you grant us a worldwide, non-exclusive, royalty-free license to host, distribute, advertise, and display your materials across our Platform and marketing channels.
• Student Interaction: You agree to maintain professional conduct in all interactions with students. This includes providing timely feedback on assignments, answering questions respectfully, and fostering a constructive learning environment.

4. Terms for Corporate Partners

If you are an organization purchasing access on behalf of your workforce, you are a “Corporate Partner.”

• Partnership Agreement: This section establishes the baseline terms for corporate partnerships. Specific financial and service-level commitments may be outlined in a separate, customized Master Service Agreement (MSA) signed between your organization and Gasha Digital Technology.
• Employee Access: Corporate Partners may provision access to designated employees (“Authorized Users”) for training and development purposes. The Corporate Partner is responsible for ensuring Authorized Users comply with these Terms.
• Data Protection: We are committed to protecting corporate data. The processing of any employee data is governed strictly by our Privacy Policy and relevant national data protection regulations.

5. Payments, Taxes, and Financial Terms

• Purchasing & Pricing: Course prices are determined by Siltawi and the Instructors. Payments are processed securely via local and international gateways (e.g., Chapa, BeyaPay).
• Instructor Revenue & Payouts: Instructors earn a revenue share based on our active commission rules. Payouts are strictly processed during the 1st to the 5th day of each calendar month for the preceding month’s earnings.
• Tax Compliance: Instructors are responsible for their own income taxes. However, to comply with the Ethiopian Revenues and Customs Authority (ERCA), Siltawi reserves the right to withhold applicable taxes (such as 2% withholding tax) directly from Instructor payouts and remit them to the appropriate authorities. Instructors must provide accurate Tax Identification Numbers (TIN) when requested.

6. Disclaimers & Limitation of Liability

• “As Is” Basis: The materials on the learning management system are provided on an ‘as is’ and ‘as available’ basis. Gasha Digital Technology makes no warranties, expressed or implied, and hereby disclaims all other warranties, including without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
• Limitation of Liability: In no event shall Gasha Digital Technology, its directors, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Platform.

7. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Addis Ababa, Ethiopia.
